Terms of Service
1. Provider and agreement
BirdSaid is provided by Praeco Innovation Ltd, HE 469106, Loizou Askani 8, 3110 Limassol, Cyprus. By creating an account or using BirdSaid, you agree to these Terms, the Privacy Notice, Recording Notice, Voiceprint Notice and Acceptable Use Policy.
2. Consumer eligibility and accounts
BirdSaid is a consumer service for adults acting for personal purposes. You must be at least 18, provide accurate information, protect your login and recorder credentials, and promptly report suspected compromise. Your verified email is the sole login binding for the initial service. BirdSaid does not offer account transfers, email changes, account merging, or recovery of an account or prepaid balance after you lose access to that email. This does not limit mandatory data-protection or consumer rights. You may not use BirdSaid on behalf of an employer or other organisation, or share an account in a way that defeats access controls or usage limits.
3. Service
BirdSaid transcribes customer-provided recordings, separates speaker clusters, supports user-supplied names, and may privately recognise enrolled voices. Outputs are probabilistic and require human review. Features described as demo, beta or pre-release may change or be withdrawn.
4. Your content and instructions
You retain rights in content you provide. You grant Praeco the limited rights needed to host, process, transmit, secure and delete it to provide BirdSaid and comply with law. You are responsible for the accuracy, legality and instructions associated with your content and for maintaining your own copies of important material.
5. Recording and voiceprints
You must have all required rights, notices, permissions and lawful bases for recordings, transcripts, names and voiceprints. You must not enrol a voice merely because you can hear it. Voice memory is limited to personal speaker labelling in your own account and may not be used as proof of identity or for high-impact decisions.
6. Prepaid minutes and payment
Paid service, when enabled, uses EUR-denominated prepaid transcription minutes. Minutes are closed-loop service units, not money: they cannot be transferred, redeemed for cash or used outside BirdSaid. Prices and included taxes are shown before purchase. Processing duration is charged by recording time as described at checkout. Stripe handles payment details. The Refund Policy applies.
7. Acceptable use
You must follow the Acceptable Use Policy. We may restrict or suspend use that creates legal, security, privacy or operational risk, and may remove clearly unlawful material where required.
8. Third-party services
BirdSaid depends on hosting, transcription, payment and meeting-platform services. Their availability and changes may affect BirdSaid. You are responsible for complying with the terms of meeting platforms you use.
9. Confidentiality and security
Each party must protect the other's non-public information using reasonable care and use it only for the service relationship. Our security measures are summarised on the Security page. No internet service is guaranteed completely secure or uninterrupted.
10. Suspension and termination
You may stop using BirdSaid and request account deletion. We may suspend access to prevent harm, investigate misuse, comply with law, or address non-payment. On termination, export or delete content promptly. Legally required financial and security records may be retained.
11. Service standard and warranties
BirdSaid is provided with reasonable care, but transcripts and speaker labels are probabilistic and can be wrong. You must review outputs and must not rely on them for safety-critical, legal, medical, employment, credit, insurance, policing or identity decisions. To the maximum extent permitted by law, BirdSaid is provided “as is” and “as available” without implied warranties of uninterrupted operation, merchantability, fitness for a particular purpose, or non-infringement.
12. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profit, revenue, business, opportunity, goodwill or data. Praeco's total aggregate liability arising from or relating to BirdSaid and these Terms is limited to the total BirdSaid fees actually paid by the customer to Praeco during the 12 months immediately before the event giving rise to the claim. These limits do not exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, or any liability or mandatory consumer remedy that applicable law does not permit a party to exclude or limit.
13. Changes, law and disputes
We may update these Terms for legal, security or product reasons and will identify the effective date and provide material notice where appropriate. Cyprus law governs, but this does not remove mandatory consumer protections of the country where you habitually live. The courts of Cyprus have jurisdiction only to the extent mandatory consumer-jurisdiction rules permit.
